These Terms of Use (“Terms”) govern your use of the REINZ companion application and associated services (the “REINZ Companion”), provided by The Real Estate Institute of New Zealand Incorporated (REINZ, we, us or our).
1. Membership and account use
Use of the REINZ Companion is conditional on you being an Authorised User of, and authorised to access the REINZ Companion by, a current REINZ Member Agency (or another person we have authorised in writing). If your Agency’s REINZ membership ends, lapses or is suspended for any reason, or if your Agency withdraws your authorisation to access the REINZ Companion, your right to use the REINZ Companion ends with it.
Your login credentials are personal to you. You must keep them confidential and secure, must not share them with or allow them to be used by any other person, must not alter them without our written consent, and must notify us immediately if they are lost or subject to unauthorised use or disclosure. You are responsible for all activity carried out under your account. You and your Agency are jointly and severally liable for your access to and use of the REINZ Companion, REINZ Data and REINZ Statistics.
2. Other agreements and professional obligations
These Terms are supplementary to, and do not replace, the following, which also apply to your use of the REINZ Companion and its content:
- Your Agency’s REINZ membership terms and the REINZ Rules, codes, by-laws and professional standards;
- the REINZ End User Licence Agreement (EULA) and the Supplied Information Terms referred to in the EULA;
- the REINZ Statistics Authorised User Agreement;
- the REINZ Privacy Policy; and
- any third-party data licence conditions
If there is any inconsistency between these Terms and any of the above, the document that deals most specifically with the relevant subject matter prevails. In particular, the EULA, the REINZ Statistics Authorised User Agreement and the Supplied Information Terms prevail over these Terms in relation to access to and use of REINZ Data and REINZ Statistics.
Using the REINZ Companion does not in any way limit, replace or discharge your legal obligations under the Real Estate Agents Act 2008 and the Real Estate Agents Act (Professional Conduct and Client Care) Rules 2012 and the Anti-Money Laundering or any other applicable law, regulation, code or professional standard.
Defined terms. Capitalised terms used in these Terms but not defined in them have the meanings given to them in the or the (as applicable in the context).
3. The REINZ Companion does not provide advice
The REINZ Companion and all information, responses, estimates, statistics, reports and other output generated through it (“Output”) are general information only. They do not constitute, and must not be relied on as:
- legal advice;
- AML/CFT, sanctions or compliance advice;
- regulatory, tax, accounting or financial advice;
- a registered valuation under the Valuers Act 1948, or an Appraisal under rule 9.5 of the Real Estate Agents Act (Professional Conduct and Client Care) Rules 2012; or
- professional real estate, conveyancing or property-management advice.
You remain responsible for exercising your own professional skill and judgement, for verifying any Output before relying on it or sharing it with anyone, and for compliance with all laws, regulations, codes and professional standards that apply to you. We recommend you obtain independent professional advice from a suitably qualified adviser before acting on anything generated through the REINZ Companion.
4. AskREINZ and AI-generated content
AskREINZ uses artificial intelligence to generate informational responses. It is an automated tool, not a person. AI Output may be inaccurate, incomplete, out of date, biased or fabricated and may vary between sessions. You must independently verify Output and apply your own professional judgement before relying on it or sharing it with anyone.
When using AskREINZ you must not submit personal information about identifiable individuals (including clients) unless you have a lawful basis to do so, confidential information you are not authorised to disclose, or content that is unlawful, misleading or infringes anyone’s rights. We may collect and process your prompts and Output to operate, secure and improve the REINZ Companion.
If you share any AI-generated Output with a client or other third party (including in or alongside any report or communication), you must clearly identify it as AI-generated and indicate that it is general information only that may require verification. REINZ does not adopt, endorse or warrant any specific Output. You are responsible for any reliance by your clients or other recipients on Output you share with them.
5. Property estimates, Market Insights and data licence compliance
Property estimates, market statistics, suburb analytics, the REINZ House Price Index and similar information shown in the REINZ Companion are generated by automated systems using data from REINZ, LINZ, territorial authorities (councils) and other Information Suppliers. They are indicative and general only, and are not a registered valuation, an Appraisal under rule 9.5 of the Real Estate Agents Act (Professional Conduct and Client Care) Rules 2012, or advice for lending, tax, insurance, legal, settlement or court purposes. Any automated valuation model output is not a registered valuation or an Appraisal.
Data made available through the REINZ Companion is sourced from REINZ, LINZ, councils and other Information Suppliers, and is subject to the Supplied Information Terms referred to in the EULA, which apply to you as if set out in these Terms. In particular, data sourced from LINZ (under the LINZ Licence for Personal Data 2.4, or the most recent version) and from councils must not be used for Unsolicited Direct Marketing.
No Unsolicited Direct Marketing. “Unsolicited Direct Marketing” means a targeted marketing communication, in any form, that the recipient has not consented to receiving.
You must not use any data made available through the REINZ Companion (in particular owner data, contact information or other personal information licensed under the LINZ Licence for Personal Data or sourced from councils) for Unsolicited Direct Marketing, or in recipient lists provided to other parties that are likely to be used for Unsolicited Direct Marketing.
You are responsible for ensuring that any use you make of personal information accessed through the REINZ Companion complies with the Privacy Act 2020 (including Information Privacy Principles 1 and 10) and with all applicable Information Supplier licence conditions.
Estimate reports are not appraisals. The Estimate tool generates an automated value range using available data and statistical models. It does not apply professional skill, judgement or knowledge of the specific property, the local market, or the vendor's or purchaser's circumstances. You must not use, describe, label, present or provide an Estimate report (or any output of the Estimate tool) to a client, prospective client, vendor or purchaser as, or in substitution for, an Appraisal under rule 9.5 of the Real Estate Agents Act (Professional Conduct and Client Care) Rules 2012, a "Comparative Market Appraisal", a "Current Market Appraisal", a "CMA" or a registered valuation.
You must still prepare any Appraisal yourself in accordance with rule 9.5, exercising your own professional skill and judgement, using comparable sales information you have verified, and reflecting current market conditions. If you choose to refer to an Estimate output when preparing your Appraisal, you must clearly identify it as an automated estimate generated by the REINZ Companion and not represent it as part of your professional appraisal. Failure to comply with this clause is a breach of these Terms and may also be a breach of the Real Estate Agents Act 2008 and the Real Estate Agents Act (Professional Conduct and Client Care) Rules 2012, for which you are solely responsible.
The REINZ AVM. The Estimate tool is powered by the REINZ AVM (REINZ’s proprietary automated valuation model), which uses machine learning, sales data and property attribute data to generate an estimated value range for a property. REINZ expressly excludes any warranty or representation that any REINZ AVM Output is an accurate representation of the actual or likely sale price or market value of the subject property. To the maximum extent permitted by law, REINZ excludes all liability for any loss or damage suffered or incurred as a result of any reliance on, or use of, a REINZ AVM Output. If you share any REINZ AVM Output with a client or other person, you must do so in the form generated by the REINZ Companion, including the estimated range, and any disclaimers or qualifications displayed alongside it. You must not isolate the mid-point figure or otherwise strip out the range or the accompanying disclaimers when sharing the Output.
6. REINZ Data, REINZ Statistics and restrictions on use
REINZ Data, REINZ Statistics, the REINZ House Price Index, reports, software, branding and all other content in the REINZ Companion (other than your own content) are owned by or licensed to REINZ. We grant you a non-exclusive, non-transferable and non-sublicensable licence to access and use them through the REINZ Companion for your legitimate professional and business purposes.
As between you and REINZ, REINZ owns all REINZ AVM Output. We grant you a non-exclusive, non-transferable licence to use REINZ AVM Output for your legitimate professional and business purposes, in the form generated by the REINZ Companion. You must not use the REINZ name, logos, the name or visual identity of the REINZ Companion, or the names “AskREINZ” or “REINZ AVM”, in any product, service or marketing material in a way that could mislead a person into thinking it is authorised, endorsed or provided by REINZ.
Unless we agree in writing, you must not:
- share, transfer, on-sell or otherwise make REINZ Data, REINZ Statistics or Output available to any person other than another Authorised User of a REINZ Member Agency, except as expressly permitted under the EULA or the REINZ Statistics Authorised User Agreement;
- release REINZ Data or REINZ Statistics prior to their formal public release by REINZ;
- use REINZ Data or REINZ Statistics to compare your sales or other data (or the sales data of your agency, Group or employer) with another person’s, or to claim that you or your agency has a particular market share;
- use REINZ Data or REINZ Statistics to develop or create a website primarily used for listing real estate to the general public, or any other competing product, database, valuation model or AI model;
- scrape, harvest, bulk-download, reverse engineer, decompile or otherwise systematically extract data from the REINZ Companion (except as permitted by section 80A of the Copyright Act 1994);
- use the REINZ Companion or any Output for any automated decision-making, tenant screening, credit, insurance, employment, suitability or other high-stakes decision affecting an identifiable individual;
- create or use multiple accounts to circumvent any access limit or restriction, or use any bot, script, scraper or other automated tool to interact with the REINZ Companion;
- conduct any penetration testing, vulnerability scanning, stress testing or security research on the REINZ Companion without our prior written consent;
- resell, lease, sublicense or otherwise commercially make available access to the REINZ Companion or any Output to any other person;
- give the impression that you are speaking for or on behalf of REINZ, or denigrate any other person or REINZ Member; or
- remove or alter any REINZ or Information Supplier branding, watermarks, proprietary notices or attributions.
Members may reference REINZ aggregate statistics figures in their advertising materials or use REINZ Statistics for the purpose of an Appraisal, but only in accordance with the REINZ Statistics Authorised User Agreement.
7. Partner Offers and third-party websites
Partner Offers, codes, links and any third-party products, services or websites accessed through the REINZ Companion are provided by independent third parties, not by REINZ. REINZ is not responsible for, and does not endorse or guarantee, any third-party websites, products, services, content, pricing, availability or representations, even where they are accessed through the REINZ Companion. Your dealings with third parties are between you and the third party, and are subject to their own terms, conditions and privacy policies.
8. Your content
You retain ownership of content you upload to the REINZ Companion (including your profile, hero statement, brand image, saved properties and AskREINZ prompts). You grant REINZ a worldwide, royalty-free, sublicensable (to our service providers) licence to host, process, display and use that content to operate, secure and improve the REINZ Companion, and to use de-identified or aggregated information derived from it for any lawful purpose. You warrant that you have the rights to upload it, that it does not infringe anyone’s rights, and that it complies with applicable laws and professional standards. We may remove content that breaches these Terms. Any feedback you provide about the REINZ Companion may be used by REINZ for any purpose, without obligation to you.
9. Privacy
Your use of the REINZ Companion is subject to the REINZ Privacy Policy, which forms part of these Terms. The Privacy Policy describes the personal information we collect, how we use it, your rights under the Privacy Act 2020 (including access and correction), and any disclosures to service providers outside New Zealand. If you are a licensed person under the Real Estate Agents Act 2008, you authorise us to verify your licence number and details with the Real Estate Authority. If REINZ becomes aware of a notifiable privacy breach affecting your personal information, we will notify you in accordance with the Privacy Act 2020 and the Privacy Policy. You must comply with the Privacy Act for any personal information you input to or access through the REINZ Companion.
10. Disclaimers and limitation of liability
To the maximum extent permitted by law, the REINZ Companion and its content are provided “as is” and “as available”. REINZ excludes all warranties, representations and conditions not expressly stated in these Terms, including warranties of completeness, accuracy, fitness for purpose, compatibility and uninterrupted operation. REINZ does not warrant that the REINZ Companion or its Output will be free from errors, omissions or inaccuracies.
Business users. You acknowledge that you are acquiring access to the REINZ Companion for business purposes and that the Consumer Guarantees Act 1993 does not apply, and sections 9, 12A, 13 and 14(1) of the Fair Trading Act 1986 do not apply. You agree that contracting out of these provisions is fair and reasonable. Nothing in these Terms limits liability that cannot lawfully be limited, including for fraud or for death or personal injury caused by our negligence.
To the maximum extent permitted by law, REINZ’s total aggregate liability to you (whether in contract, tort including negligence, equity, statute or otherwise) under or in connection with these Terms or the REINZ Companion is limited to the lesser of: (a) the REINZ membership fees paid by you (or your agency) to REINZ in the preceding 12 months; and (b) NZD $100. REINZ is not liable for indirect or consequential loss, loss of revenue, profits, opportunity, business, goodwill or data, or for loss arising from your reliance on any Output, market information, third-party services, outages or your breach of these Terms.
You indemnify REINZ against any direct or indirect loss, liability or cost it suffers arising from your breach of these Terms, your misuse of the REINZ Companion or its content, your breach of any law (including the Real Estate Agents Act 2008, AML/CFT Act 2009 and Privacy Act 2020), or your infringement of anyone’s rights. The Information Suppliers identified in clause 5 have the benefit of, and may enforce, the rights given to them in these Terms under subpart 1 of Part 2 of the Contract and Commercial Law Act 2017.
11. Suspension and termination
Without limiting our rights under any related agreement, we may suspend, restrict or terminate your access to the REINZ Companion (in whole or in part) immediately if: your Agency’s REINZ membership ends or is suspended; you fail to remedy any breach of these Terms capable of remedy within 10 days of notice from us; you commit a breach incapable of remedy or which we reasonably consider serious; an Information Supplier requires us to do so; or we decide to withdraw or suspend all or any part of the REINZ Companion generally or with respect to a class of users of which you form part. You may stop using the REINZ Companion at any time by uninstalling it. On termination, your right to use the REINZ Companion and REINZ Data ends and you must promptly cease all use of REINZ Data and REINZ Statistics, except where you are required by law or professional rules to retain records. The provisions of these Terms that by their nature should survive termination (including those relating to intellectual property, the licence you grant in your content, privacy, disclaimers, limitation of liability, indemnity and governing law) continue to apply after termination.
12. Changes to these Terms
We may update these Terms from time to time by posting the updated Terms in the REINZ Companion or on our website. Your continued use of the REINZ Companion after the update takes effect constitutes acceptance of it. We may also add, change, suspend or remove features of the REINZ Companion at any time. These Terms (together with the documents in clause 2) are the entire agreement between you and REINZ in relation to the REINZ Companion. You may not transfer your rights without our consent; we may assign these Terms to a related entity or successor. If any provision is unenforceable, it is severed and the rest continue in force. Neither party is liable for delay caused by a Force Majeure event.
13. Governing law and contact
These Terms are governed by New Zealand law. You and REINZ submit to the non-exclusive jurisdiction of the New Zealand courts.
